These Terms of Sale explain the terms under which Daniel Dennis Media LTD trading as Video Formula provides services to clients. By purchasing or agreeing to any service from us, you accept these terms in full.
1. About Us

We provide video production, video marketing and related services.
2. Services Provided
We offer a range of services including:
- Video production
- Editing and post production
- Video marketing strategy
- Content planning
- Consultancy and support
A full description of the services and deliverables will be included in your proposal or agreement.
3. Quotes and Proposals
All quotes and proposals are valid for 30 days unless stated otherwise.
A proposal outlines:
- Scope of work
- Deliverables
- Timescales
- Payment terms
- Any additional conditions
Work will only begin once the proposal is accepted and any required deposits are paid.
4. Pricing and Payment
a. Payment Terms
Payment terms will be set out in your proposal or invoice. Unless agreed otherwise:
- A deposit may be required before work begins
- Remaining balances are due on completion or on agreed milestone dates
- All invoices must be paid within the stated payment period
b. Late Payments
If payment is not received by the due date, we may:
- Pause ongoing work
- Withhold final deliverables
- Charge interest at the statutory rate permitted under UK law
5. Changes and Additional Work
If the scope of the project changes after work has begun, additional charges may apply.
This includes:
- Extra filming days
- Additional edits beyond the agreed rounds
- New deliverables not included in the original proposal
Any added costs will be agreed before extra work starts.
6. Cancellations and Refunds
a. Client Cancellation
If a client cancels a project:
- Deposits are non refundable
- If work has already started, fees may apply for work completed up to the cancellation date
b. Studio or On Site Filming
If filming is cancelled with less than 48 hours notice, a cancellation fee may apply to cover lost time and any pre booked contractors or locations.
c. Our Right to Cancel
We reserve the right to cancel a project in exceptional circumstances. If this happens, any fees for work not completed will be refunded.
7. Deliverables and Ownership
a. Ownership
Final videos and content are transferred to the client only once full payment has been received. Until payment is complete, all material remains the property of Video Formula.
b. Raw Footage
Raw footage is not automatically included in the service. If required, it can be provided for an additional fee.
c. Usage Rights
Clients receive full usage rights for the final content for business marketing purposes.
We retain the right to use completed work in our portfolio, showreels or marketing unless agreed otherwise.
8. Client Responsibilities
Clients must:
- Provide accurate information needed for the project
- Supply brand assets or materials in a timely manner
- Ensure they have permissions for any locations, people or content featured
- Review and approve drafts within agreed timescales
Delays in providing information or approvals may affect project timelines.
9. Liability
We are not responsible for:
- Loss of profits or business opportunities
- Delays caused by events outside our control
- Issues that arise from incorrect or incomplete information provided by the client
Our liability is limited to the total amount paid for the project.
10. Confidentiality
Both parties agree to keep confidential all private or sensitive information shared during the project unless legally required to disclose it.
11. Data Protection
Any personal data collected during the project will be handled in accordance with our Privacy Policy and UK GDPR requirements.
12. Governing Law
These Terms of Sale are governed by the laws of England and Wales. Any disputes will be resolved in the courts of England and Wales.
